1. Agreement
These Terms of Service ("Terms") form a binding legal agreement between you and Communicare OÜ, an Estonian private limited company (Estonian Business Register code 16013306), which operates the Najed AI platform ("Najed AI", "we", "us"). By creating an account, accessing the platform at najed.ai, or using any Najed AI agent including Daleel, you agree to these Terms in full.
If you are using the platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. "You" then refers to that entity.
If you do not agree to these Terms, do not use the platform.
2. What We Provide
Najed AI operates a suite of AI-powered compliance intelligence agents for businesses operating in or entering Saudi Arabia. The current platform includes:
- Daleel — an AI agent that generates Saudi market entry analysis, covering MISA licensing pathways, Saudization obligations, sector-specific regulations, and related compliance topics.
- Additional agents (Zakat, Nitaq, Moarrab) available or in development.
We provide information and analysis, not legal, financial, tax, or regulatory advice. See Section 6 for the full disclaimer.
3. Eligibility
You may use Najed AI only if:
- You are at least 18 years old
- You are acting for a business or professional purpose, not as a consumer
- You register with a valid work email address (personal email domains are not accepted)
- You are not located in a jurisdiction where use of this service is prohibited by law
We reserve the right to refuse service to anyone for any reason, at our discretion.
4. Accounts
4.1 Registration
You must create an account to generate a full Daleel report. You agree to provide accurate, current, and complete information and to keep it up to date.
4.2 Work Email Requirement
We require a verified work email address. We may reject or deactivate accounts registered with personal email domains at our discretion.
4.3 Security
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@najed.ai if you suspect unauthorized access. We are not liable for losses caused by unauthorized account access that results from your failure to secure your credentials.
4.4 One Account Per Entity
Each legal entity may maintain one active account unless explicitly agreed otherwise in writing.
5. Free Tier and Paid Services
5.1 Free Tier
New accounts receive one (1) complimentary Daleel report and up to five (5) substantive follow-up questions. We may change free tier limits at any time with notice (see Section 14).
5.2 Paid Reports
After the free tier is exhausted, continued access requires payment. Current pricing is displayed on the platform at the time of purchase. All prices are shown in the currency selected at checkout. We reserve the right to change pricing at any time; price changes do not affect reports already purchased.
5.3 Payment
We use Stripe for payment processing. By purchasing a report, you authorize Stripe to charge your payment method. You are responsible for all taxes applicable to your purchase in your jurisdiction.
5.4 Refunds
All sales are final. Because Daleel generates a custom AI report at the moment of purchase using compute resources, reports are considered delivered upon generation. We do not offer refunds once a report has been generated.
If a report fails to generate due to a technical error on our side, contact us at support@najed.ai within 7 days. We will either re-generate the report or issue a full refund at our discretion.
5.5 Invoicing
Upon request, we will issue a VAT invoice for any purchase. Email billing@najed.ai with your order ID and billing details.
6. No Legal or Regulatory Advice
This is the most important section. Please read it carefully.
Najed AI and Daleel provide informational analysis only. Nothing on this platform constitutes:
- Legal advice
- Financial or investment advice
- Tax advice
- Official regulatory guidance
- A formal compliance opinion
Saudi Arabian regulations, licensing requirements, Saudization bands (Nitaqat), ZATCA rules, and all other regulatory content referenced by our agents change frequently. We make reasonable efforts to keep our knowledge base current, but we cannot guarantee that any specific piece of information is accurate, complete, or up to date at the time you access it.
You must verify all information independently before making any business, legal, or financial decisions. Consult a licensed Saudi lawyer, accountant, or MISA-registered consultant for binding advice. Najed AI is a research and intelligence tool, not a substitute for professional judgment.
We are not liable for any business loss, regulatory penalty, missed deadline, failed license application, or other consequence arising from reliance on information generated by our platform.
7. Acceptable Use
You agree not to use Najed AI to:
- Violate any applicable law or regulation
- Attempt to extract, scrape, or reproduce our knowledge base, prompts, or agent architecture for any competing purpose
- Reverse-engineer, decompile, or attempt to derive the source code of our platform
- Upload or submit any content that is fraudulent, misleading, defamatory, or infringes third-party rights
- Circumvent any usage limits, rate limits, or access controls
- Use automated tools (bots, scripts) to interact with the platform at scale without our written permission
- Attempt to manipulate our AI agents to produce harmful, illegal, or misleading outputs
- Share your account credentials with third parties or resell access to the platform
- Use the platform to generate compliance intelligence for sanctioned entities or for purposes that would violate export control or sanctions laws
Violation of these terms may result in immediate account suspension or termination without refund.
8. Your Content and Data
8.1 Your Inputs
You own the information you provide to Najed AI (your company profile, intake answers, and conversation messages). By submitting this information, you grant us a limited, worldwide license to process it solely for the purpose of providing the service to you.
8.2 Generated Reports
Reports and analysis generated by Daleel are provided to you for your internal business use. You may share reports with your own advisors, employees, and investors. You may not resell, republish, or sublicense report content as your own product or service without our written consent.
8.3 Accuracy of Your Inputs
You are responsible for the accuracy of information you provide. Inaccurate inputs will produce inaccurate outputs. We are not responsible for errors in reports that result from incorrect or incomplete information you provided.
9. Intellectual Property
All platform code, design, agent architecture, prompt systems, branding, and non-user-generated content on najed.ai are owned by Communicare OÜ or its licensors. These Terms do not transfer any intellectual property rights to you.
"Najed AI", "Daleel", "دليل", "نجد", and associated marks are trademarks of Communicare OÜ. You may not use our marks without written permission.
10. Third-Party Services
Daleel is powered by third-party AI infrastructure (Anthropic's Claude models). We do not control and are not responsible for the performance, availability, or outputs of third-party AI models. Downtime or changes in AI model behavior by our subprocessors may temporarily affect the quality or availability of the service.
Links to external websites (government portals, regulatory bodies, etc.) are provided for reference only. We are not responsible for the content, accuracy, or availability of external sites.
11. Disclaimers and Limitation of Liability
11.1 As-Is Service
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 Uptime
We do not guarantee uninterrupted service. We may suspend access for maintenance, security incidents, or circumstances outside our control (including third-party infrastructure failures) without liability.
11.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NAJED AI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM IS LIMITED TO THE GREATER OF (A) FIFTY UNITED STATES DOLLARS (USD 50), OR (B) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT WILL NAJED AI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, OR LOSS OF DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless Communicare OÜ, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the platform in violation of these Terms
- Your violation of any applicable law or third-party rights
- Inaccurate information you provided that resulted in an inaccurate report you relied upon
- Any business decision you made based on platform output without independent professional verification
13. Termination
13.1 By You
You may close your account at any time by emailing support@najed.ai. Closing your account does not entitle you to a refund of any purchased reports.
13.2 By Us
We may suspend or terminate your account immediately and without notice if:
- You breach these Terms
- We are required to do so by law
- We reasonably suspect fraudulent or abusive activity
- We decide to discontinue the service (with reasonable advance notice in non-breach cases)
13.3 Effect of Termination
Upon termination, your right to use the platform ceases. Sections 6, 9, 11, 12, 15, and 16 survive termination.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the platform at least 14 days before they take effect. Your continued use of the platform after the effective date of revised Terms constitutes acceptance. If you do not accept the revised Terms, you must stop using the platform and may close your account.
15. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Estonia without regard to conflict of law principles. The courts of Tallinn, Estonia have exclusive jurisdiction over any dispute arising from or related to these Terms or the platform.
If you are a consumer in a jurisdiction where mandatory consumer protection laws apply and those laws confer jurisdiction on your local courts, nothing in this section limits those mandatory rights.
Before initiating formal proceedings, both parties agree to attempt in good faith to resolve any dispute by email negotiation within 30 days of the dispute arising.
16. General
- Entire agreement. These Terms, together with our Privacy Policy, form the entire agreement between you and Najed AI with respect to the platform and supersede any prior agreements.
- Severability. If any provision of these Terms is held invalid or unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions remain in full force.
- No waiver. Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
- Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to a successor entity in connection with a merger, acquisition, or sale of assets.
- Language. These Terms are written in English. Any translation is provided for convenience only. In the event of conflict, the English version prevails.
- Force majeure. We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, cyberattacks, infrastructure failures, or changes in law.
